We represent and advise clients on all types of statutory changes of legal forms of companies (including mergers, acquisitions, transfers of shares, liquidation).

We carry out due diligence procedures in the event of a company ownership transfer.

Start up investments

We have extensive experience with the start-up industry and investments in all stages (pre-seed, seed) and investment options (including capital increase and subscription of shares and convertible loans).

Our team acts for both companies and investors by way of advising and drafting documents including subscription and shareholders agreements, convertible loan agreements and intellectual property rights transfer agreements.

We support and advise during the process of investment and exit through to completion, including representation before the public notary and commercial registry, as well as through the process of due diligence of the company.

We advise our clients on a daily basis in all legal matters relevant to their business. We draft contracts, provide advice regarding competition matters, consumer protection, regulatory requirements, data protection, and employment matters.

We support clients during negotiations with their partners, counterparts or regulatory bodies. We also represent clients in alternative dispute resolution procedures and before the judiciary and other administrative bodies.

We represent clients during trade mark and industrial design registrations before the State Intellectual Property Office, European Union Intellectual Property Office and World Intellectual Property Office.

We act on behalf of our clients in disputes related to IP breaches before the courts and State Intellectual Property Office.

We draft copyright agreements, license agreements, franchising agreements and other agreements on business cooperation relating to IP rights.

Based on our extensive practice with media companies, we provide our clients with a wide scope of services in the area of media law. Our distinctive experience lies within the TV and marketing industries.

Representation of Employers

We advise clients on employment law issues on a daily basis, including through drafting employment agreements, managers’ agreements, work regulations, establishment plans, employers’ decisions and other documents.

Our support to clients throughout the whole of the dismissal procedure includes legal advice for each specific work situation, negotiations with the employees, representation before work councils or labour unions, the drafting of decisions of dismissal and any other required document, and making sure the decision to dismiss is lawful.

We have gained a broad experience in collective redundancy procedures, including negotiating with employees, during the process of consultation with work councils and labour unions and drafting supporting documents.

We represent clients in employment law litigation.

We support and represent domestic and foreign employees in administrative proceedings for the issuance of Reside and Work Permits, as well as work registration certificates.

Representation of Employees

We represent individuals in employment law litigation relating to the annulment of decisions on dismissals and the return of the employee to work, payment of salaries, compensations, as well as all other employment related procedures.

We regularly advise clients on employment law issues.

Real estate transactions

We perform due diligence of real estate, and draft agreements including sale and purchase pre-contracts and contracts and mortgage agreements.

Following the real estate transaction, we represent clients before courts and administrative bodies in relation to registration of ownership or possession, or any other type of entry in the land registry or cadastral registry.

We also represent clients in ownership dispute litigation.

Real estate investments

In association with architectural and geodetic bureaus, we advise and represent clients in administrative procedures for obtaining certificates and permits prescribed as requirements for construction, e.g. subdivision procedures, procedures before the land registry and the cadastral registry related to entry of surface, form and buildings in the registrars, location and construction permits and legalization certificates. We advise on and draft contracts between our clients and real estate agents and consultants. We also draft construction agreements and provide full support until the completion of the project.

Condominiums and representation before land registrar

We support clients in procedures for establishing condominiums and draft agreements on termination of co-ownership and establishment of a condominium.

We represent clients in procedures before the land registrar.

We have extensive experience helping companies comply with General Data Protection Regulation (GDPR). We help and advise companies on a multi-jurisdictional level in respect to data security from a legal perspective, privacy policies, data storage, retention and destruction, privacy complaints, disputes and all other GDPR issues. We draft data processing and transfer agreements between controllers and between controllers and processors. We draft work regulations, privacy policies and notices and all other documentation in accordance with GDPR and local law requirements.

We help our clients recover the claims from their debtors, including assisting with initiating enforcement proceedings, pressing criminal charges, seeking interim measures, obtaining injunctions; initiating actio pauliana, and representing clients during insolvency procedures and pre-insolvency settlement.

We represent clients in all claims for damages, either damages caused by a contractual breach or non-contractual damages.

Our team has extensive experience in the area of medical malpractice cases.

In the area of human rights law, we advise and represent in anti-discrimination proceedings before national courts, the Constitutional Court and the European Court of Human Rights.

In order to protect the rights of our clients granted by EU law, where appropriate we request that national courts make a reference for a preliminary ruling by the Court of Justice of the European Union.

We help corporations adjust their codes of conduct and policies to meet the human rights standards granted by international and local law and jurisprudence.
